Terms of service

Welcome to InstaEscrow. These Terms of Service (“Terms”) govern your access to and use of the InstaEscrow platform, including all related applications, services, and websites (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms.
1. Platform Description
InstaEscrow is a secure escrow payment platform for social commerce in Kenya. The Platform enables:
- Vendors (social commerce sellers) to create and send professional invoices
- Buyers to make secure payments held in escrow until delivery is confirmed
- M-Pesa and card payment processing
- Dispute resolution for transactions between buyers and sellers
- Payout management for verified vendors
2. Account Registration
You must register for an account to use vendor features of the Platform. Vendor accounts are classified as “business.store” accounts. You agree to provide accurate, current, and complete information during registration, including your store name, store handle, and M-Pesa details. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
3. Vendor Responsibilities
As a vendor on InstaEscrow, you agree to:
- Provide accurate product descriptions and pricing in all invoices
- Deliver goods as described within the agreed timeframe
- Respond to buyer inquiries and disputes in a timely manner
- Maintain accurate M-Pesa registration details for payouts
- Not engage in fraudulent or deceptive practices
4. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose or to sell prohibited items
- Attempt to circumvent the escrow process or manipulate transactions
- Interfere with or disrupt the integrity or performance of the Platform
- Upload or transmit any malicious code or harmful content
- Create fake invoices or engage in money laundering
- Impersonate any person or entity
5. Payments & Escrow
Payments made through InstaEscrow are held in escrow until the buyer confirms delivery or the auto-release period expires (72 hours after payment, if neither party has acted and no dispute is open). The buyer pays exactly the invoice total. InstaEscrow charges the seller a platform fee of 1% of each successful transaction, plus a payment processing fee of 3% on card payments or 1.5% on M-Pesa payments. Both are deducted from the seller’s payout and never added to the buyer’s total. Withdrawals to M-Pesa or bank are free. For example, on a KES 1,000 card payment the seller receives KES 960, and on a KES 1,000 M-Pesa payment the seller receives KES 975. All payment processing is facilitated through licensed payment processors and mobile money providers (including M-Pesa). InstaEscrow is not a bank or financial institution.
6. Intellectual Property
The Platform and its content, features, and functionality are owned by AutoTribes and are protected by copyright, trademark, and other intellectual property laws. You retain ownership of content you submit to the Platform but grant InstaEscrow a worldwide, non-exclusive, royalty-free license to use, display, and distribute such content in connection with the Platform’s services.
7. Limitation of Liability
The Platform is provided on an “as is” and “as available” basis. InstaEscrow makes no warranties, express or implied, regarding the Platform’s availability, reliability, or fitness for a particular purpose. To the maximum extent permitted by law, InstaEscrow shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
8. Termination
InstaEscrow reserves the right to suspend or terminate your account at any time, with or without notice, for violation of these Terms or for any other reason. Upon termination, any funds held in escrow will be handled according to the Escrow Terms. Provisions that by their nature should survive termination shall continue in effect.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Kenya.
